AT&T and Time Warner $85 Billion Merger Approved

Much like at the climax of Avengers: Infinity War, the substantial, all-cash bid for the rights to intellectual properties owned by 21st Century Fox by Comcast is entering the endgame.

The bid, $35 per share in cash, is roughly 24% higher than Disney's previous offer of $52 billion for the company's production assets and movie franchises.

AT&T countered in court papers that the merger would allow it to compete better with Netflix, Amazon, Google and other companies that offer online video.

Comcast Corp (CMCSA.O) offered $65 billion on Wednesday to lure Twenty-First Century Fox Inc (FOXA.O) away from a merger with Walt Disney Co (DIS.N), setting up a bidding war between two of the largest USA media companies with its 20 percent higher offer.

The first is a thorough understanding of antitrust law, in particular the law of vertical integration, the sort of arrangement that AT&T and Time Warner now have a green light to implement.

Makan Delrahim, the Justice Department's top antitrust official, said the government was disappointed in the ruling and would "consider next steps".


Initially, the companies planned to use a "selective enforcement" defense, alleging that the administration was blocking the deal because of Trump's disdain for CNN.

The two then had a long lunch in the Time Warner dining room in NY and agreed that their industries were under siege.

Shares of Comcast, Fox and Disney were barely changed in after-hours trade.

"The approval of this merger makes clear that Congress must pass legislation that unambiguously protects competition in the face of vertical consolidation".

AT&T is known to most consumers as a telecom company, offering cable, internet and phone services, but this is just the latest in a line of mergers from such companies trying to break into the media landscape. Still, the Justice Department's case laid out a traditional antitrust theory: that combining two companies in different parts of a supply chain can give the merged company the ability to harm rivals. Rather than negotiating an agreement that imposes conditions on how AT&T can conduct business, Delrahim demanded AT&T sell businesses to address threats to competition, which the company refused to do.

If Senior United States District Judge Richard Leon approves AT&T's purchase of Time Warner today, analysts and investors are likely to read it as a positive sign for the proposed merger of T-Mobile and Sprint.

AT&T, in turn, said it needs Time Warner to have a fighting chance against tech giants like Google and Facebook.

"I don't think either will have a significant advantage over the other", given that both Disney and Comcast seem motivated to divest what they need to win a deal with Fox, said Ketan Jhaveri, a former Justice Department attorney who served on the telecommunications task force.

When the government sued a year later, it alleged that a combined AT&T-Time Warner would have too much leverage in negotiations with television distributors, which would hurt competitors, harm innovation and could lead to increased cable prices for consumers.
